NO PURCHASE NECESSARY TO ENTER OR TO CLAIM A PRIZE. A PURCHASE WILL NOT INCREASE YOUR ODDS OF WINNING. ALL APPLICABLE FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS, RULES, AND REGULATIONS APPLY. VOID WHERE PROHIBITED BY LAW.

1. SPONSOR: This Dealer Appreciation Photo Sweepstakes (“Sweepstakes”) is promoted, sponsored, and administered by AgReliant Genetics, LLC d/b/a LG Seeds, with its headquarters at 1122 E.169th Street, Westfield, Indiana 46074 (“Sponsor”). These Official Rules govern all aspects of participation and prize award.
2. ENTRY PERIOD: The Sweepstakes shall run from 12 am Eastern Standard Time (“EST”) Monday, February 28th, 2022 through 12 pm EST Thursday, March 31st, 2022.
3. ELIGIBILITY: Open to legal residents of the 50 United States and the District of Columbia (excluding New York and Florida) who are 21 years of age or older as of the date of entry and are a dealer of LG Seeds who has sold over 1,000 bags of LG Seeds corn for the 2022 season (“Entrants”). Sponsor’s employees, their respective agents, affiliates, subsidiary and parent companies, sales representatives, advertising and promotion agencies and members of the immediate families or households of each are not eligible. 
4. PARTICIPATION: Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Sweepstakes. Winning the Prize (defined below) is contingent upon fulfilling all requirements as set forth herein. Sponsor reserves the right to disqualify persons found tampering with or otherwise abusing any aspect of this Sweepstakes as solely determined by Sponsor. In the event this Sweepstakes is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of Sponsor which corrupt or impair the administration, security, fairness or proper operation of this Sweepstakes, Sponsor reserves the right in its sole discretion to suspend, modify or terminate this Sweepstakes. Should this Sweepstakes be terminated prior to the end of the Entry Period, Sponsor reserves the right to award a Prize based on the non-suspect, eligible entries received before the termination date. 
5. HOW TO ENTER:
   1. Entrants must have an Instagram or Twitter account (collectively, “Social Media”).
   2. Post a photo of the new LG tumbler, which was sent to Entrant on or around March 15th, 2022, to one of Entrant’s respective Social Media account pages and “tag” @LGSeeds and use the hashtag #LGSeeds (“Entry”). Entrant represents that Entrant has all necessary rights to grant a license to Sponsor to publish and reuse Entrant’s photo and post for any purpose without compensation and that Entrant hereby grants such license together with the right to use Entrant’s name and the image of anyone or anything appearing in the photo and post.
   3. All entries for the Entry Period must be received by the end date of the Entry Period as provided in these Official Rules. No mechanically reproduced entries will be accepted. Any Entry/photo deemed, at the sole discretion of the Sponsor, to be “explicit” in nature will be removed from consideration and disqualified from this Sweepstakes.
   4. No Mail-in Entry: No participation via a mail-in entry is available.
   5. There is a limit of one Entry per household. If more than one Entry is received from an Entrant (i.e. Entrant posts to both Instagram and Twitter accounts or posts more than one time on either or both Social Media accounts), only the first Entry will be included and all later Entries will be disqualified. The potential Winner may be required to provide valid and legal proof of identification. All Entries must be fully and accurately completed.
   6. Entrants may not create multiple Social Media accounts to enter this Sweepstakes. Any Entrant found to use multiple accounts to enter this Sweepstakes will be disqualified and ineligible.
6. SELECTIONS AND NOTIFICATION OF WINNER: On or about April 8th, 2022, Sponsor will select a winner (“Winner”) through a random computer-generated drawing from all eligible Entries received during the Entry Period. Such selection of a Winner by Sponsor is final and binding on all matters relating to this Sweepstakes. Odds of winning depend on the number of eligible Entries received. The Winner will be notified by Sponsor via Direct Message on Social Media and/or via the email attached to the Entrant’s dealer account. The Winner may waive its right to receive the Prize. If the Winner cannot be reached within 10 days of the first attempt, the Prize will be forfeited and an alternate Winner may be selected at Sponsor’s sole discretion. Sponsor and its representatives are not responsible for: (i) lost, late, or Entries that don’t identify the Entrant; and (ii) any typographical or other error in the printing, offering or announcement of the Prize. The Winner will be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release in order to receive the Prize, or the Prize will be forfeited. The Winner is responsible for the reporting and payment of all federal, state and local taxes (if any) and any other costs and expenses associated with Prize acceptance and use not specified in these Official Rules and/or in the applicable Entry instructions as being provided. The Prize will be fulfilled within a reasonable time after Sponsor’s verification of the Winner.
7. WINNER DISPUTE: In the event of a dispute over the owner of an Entry, Entries will be deemed to have been submitted by the owner of the ISP account from which they were sent. For these purposes, an ISP account holder shall mean the natural person(s) assigned to such ISP account by the Internet access provider, online service provider or other organization responsible for assigning ISP addresses for the domain associated with such ISP account. Any questions regarding the number of Entries submitted or the owner of an ISP account shall be determined by Sponsor in its sole discretion, and Sponsor reserves the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Sponsor.
8. PRIZE: The Winner will receive a Patriot® softpack cooler, with an approximate market value of $200. The Prize is non-refundable, non-redeemable for cash, non-transferable, and non-endorsable. If the Prize is unclaimed and forfeited, the Prize will not be awarded. The Prize is awarded “as is” without any warranty or guaranty of any kind. No substitution or transfer of the Prize permitted except at the sole discretion of Sponsor who reserves the right to substitute a  prize  of  equal  or  greater  value  in  the  event  the  Prize  is  unavailable. 
9. GENERAL CONDITIONS: By entering, Entrants, (a) agree to abide by and be bound by the Official Rules and decisions of Sponsor; (b) agree to release Sponsor (as set forth in the release of liability below), its affiliates, subsidiary and parent companies, sales representatives, advertising and promotion agencies and its employees, officers and agents from any and all liability, loss, damage or injury resulting from participation in this Sweepstakes or awarding, receipt, possession, use and/or misuse of any prize awarded herein and acknowledge that Sponsor nor its employees, officers and agents have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize including, but not limited to, its quality; and (c) consent to use of name, photograph, and/or likeness for advertising and promotional purposes in connection with this Sweepstakes by Sponsor and its employees, officers and agents, without consideration or further permission, unless prohibited by law. All applicable taxes and related obligations of the Winner which are associated with the acceptance and use of the Prize are the sole responsibility of the Winner. These Official Rules are subject to applicable federal, state and local laws and regulations. Void where prohibited.
10. RELEASE OF LIABILITY: All Entrants agree to hold harmless and release Sponsor and its employees, officers, agents, parent companies, affiliates, and all others associated with the development and execution of this Sweepstakes, including Facebook and Twitter, from any and all existing or future, alleged or actual, claims, actions, and liabilities with respect to or in any way arising from this Sweepstakes, participation in any sweepstakes-related activities, and/or delivery, failure of delivery, acceptance, possession, use, or misuse of a prize. Sponsor and its employees, officers and agents are not responsible for user cheating or fraud by any Entrants. Any activities intended to disrupt or interfere with the proper play of this Sweepstakes or to defraud Sponsor or its employees, officers and agents in any way will be prosecuted to the fullest extent of the law. Entrants who engage in any of the foregoing activities will be disqualified and will forfeit any prizes won. Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend this Sweepstakes and randomly award the Prize from among all eligible Entries received prior to actions taken by the Sponsor.
11. DISPUTES: Except where prohibited, by participating in this Sweepstakes, Entrants agree that any and all disputes, claims and causes of action arising out of, or connected with this Sweepstakes or the Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Hamilton County, Indiana. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of Indiana, without giving effect to any choice of law or conflict of law rules (whether the State of Indiana or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Indiana.
12. PRIVACY POLICY: Any data or information, including personally identifiable information, collected during an Entrant's participation in this Sweepstakes may be used by Sponsor, its affiliates, agents, and marketers. In order to receive the Prize, the Winner must provide Sponsor with their name, shipping address, and email, which will be added to Sponsor’s contact list for email communications. The Winner may unsubscribe from such email communications as identified in Sponsor’s privacy policy located at https://www.lgseeds.com/privacy (“Privacy Policy”). Sponsor will not sell, share, or otherwise disclose an Entrant’s or Winner’s personal information to a third party, other than to those engaged by Sponsor to fulfill the above purposes, without the Entrant’s or Winner’s permission or as otherwise permitted by Sponsor’s Privacy Policy.
13. MISCELLANEOUS: The invalidity or unenforceability of any provision of the terms and conditions of these Contest Official Rules and/or any other documentation will not affect the validity or enforceability of any other provision. In the event that any provision of these Official Rules and/or any other documentation are determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Administrator’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrant agrees to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to effect in any manner the meaning or intent of the documents or any provision hereof. Entrants acknowledge that this Sweepstakes is in no way sponsored, endorsed, administered by or associated with Facebook or Twitter. Entrants agree to the respective Terms of Use and Privacy Policies of Facebook and Twitter.
14.
